Terms and Conditions of Service: Wil-lec Group

1. General & Scope

These Terms and Conditions (“Terms”) apply to all services provided by Wil-lec Group (“the Company”) to the Customer. Our core services include electrical installations, EV charging, high-end bathroom installations, heating, gas boilers, and solar/battery storage.

2. Quotations and Contract Formation

  • All quotations are valid for 30 days unless specified.
  • A contract is formed when the Customer accepts a quotation via email, telephone, or in writing.
  • Quotations are based on a non-invasive visual inspection. We reserve the right to amend the price if unforeseen structural issues, unsafe existing wiring/plumbing, or hidden obstructions are discovered.

3. Payment Terms

  • New Customers: First-time customers are required to pay the full estimated balance (or a mobilization deposit for large projects) upfront before being added to our accounts system or work commencing.
  • Account Customers: Payment is strictly due within 30 days of the invoice date.
  • Staged Payments: For high-value projects (Solar, Boilers, Bathrooms), we may require milestone payments: (1) Deposit, (2) Delivery of major components, (3) Final completion.
  • Late Payment: We reserve the right to charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Right to Cancel (Consumer Contracts)

In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013:

  • 14-Day Cooling-Off Period: If you are a domestic consumer and the contract was formed away from our business premises (e.g., via phone or email), you have the right to cancel this contract within 14 days without giving a reason.
  • Express Request to Start: If you wish for work to begin or specialized materials (e.g., solar panels, boilers) to be ordered before the 14-day period expires, you must provide an express request for us to do so.
  • Liability for Costs: If you cancel after making an express request to start, you agree to pay for all labour provided and materials installed or ordered specifically for your project up to the point of cancellation.
  • Loss of Right: Once the service has been fully performed (the job is finished) within the 14-day period, your right to cancel is lost.
  • Emergency Works: The 14-day period does not apply to urgent repairs or maintenance specifically requested by the customer.

5. Title of Goods

  • All equipment, including but not limited to EV chargers, boilers, solar panels, and batteries, remains the legal property of Wil-lec Group until the invoice is paid in full.
  • We reserve the right to enter the premises to recover any unpaid goods in the event of a payment default.

6. Specialized Installations

  • Solar & EV: The Customer is responsible for ensuring the property is structurally sound and that they have the legal right/permissions for the installation.
  • DNO/Grid: We will manage standard DNO notifications. Any additional network upgrade costs charged by the DNO are the responsibility of the Customer.
  • High-End Bathrooms: Our quote covers the plumbing and electrical installation as specified. General home fabric work (insulation, windows) is excluded unless explicitly listed.

7. Warranties and Liability

  • Workmanship: We provide a 12-month guarantee on our labour.
  • Manufacturer Warranties: Equipment is covered by the manufacturer's warranty. While we will assist with claims, we are not liable for the failure of third-party hardware.
  • Insurance: Wil-lec Group maintains full Public Liability and Professional Indemnity insurance.

8. Cloud Services and Third-Party Software

8.1 Independent Provision: The Customer acknowledges that the physical hardware (Inverter/Battery/EV Charger) is separate from the software "Cloud Services" (mobile apps, web portals, and remote monitoring) used to manage it. These Cloud Services are provided and hosted by the third-party manufacturer (e.g., GivEnergy, Solis and Tesla) and not by Wil-lec Group.

8.2 Subscription Fees: The Manufacturer reserves the right to introduce, change, or increase subscription fees for remote cloud access, data history, or API integrations (e.g., for smart tariffs) at their sole discretion. Wil-lec Group is not liable for any such ongoing costs, and these fees are not included in the initial quotation.

8.3 System Autonomy: In the event of manufacturer software changes or company insolvency, the physical hardware will continue to operate as a standalone local device. While Wil-lec Group will provide reasonable guidance on local management (where available), we are not responsible for the loss of remote app functionality, historical data, or third-party automated tariff switching caused by manufacturer-side software changes.

8.4 Software Liability: Wil-lec Group is responsible for the correct physical installation and commissioning of the system. We are not liable for manufacturer server downtime, software bugs, or the withdrawal of "free" tiers by the manufacturer.

9. Governing Law

These terms are governed by the laws of England and Wales.
